Agreement Terms & Conditions

Below are our standard terms and conditions for the supply of my photography services.

TERMS AND CONDITIONS OF COMMISSIONING AND REPRODUCTION OF PICTURES FROM GEORGIE GLASS PHOTOGRAPHY

1. Purpose - This agreement contains the entire understanding between the Photographer and the Client. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by both parties.

2. Reservation & Rescheduling - Upon your signature, the Photographer will reserve the time and date agreed upon, and will not make other reservations for that time and date.

The Client may cancel a scheduled photoshoot by giving written notice to the Photographer up to 7 working days prior to the scheduled date. In the event of such a cancellation, the Photographer will refund any deposit paid by the Client, but will not be liable for any other costs or expenses incurred by the Client.

If the Client cancels the photoshoot within 7 working days of the scheduled date, the Photographer reserves the right to charge 40% of the agreed-upon fee, unless the photoshoot is rescheduled to another mutually agreed-upon date. If the photoshoot is rescheduled to another date, any deposit paid by the Client will be applied to the rescheduled date.

3. Payment - To secure the booking, the Client must agree in writing to the full fee in advance. The booking will only be confirmed upon receipt of the confirmation. The full balance of the fee must be paid upon delivery of the content to the Client. The Photographer reserves the right to withhold the content until full payment has been received. If the Client fails to make the remaining payment within 14 days of delivery of the content, the Photographer reserves the right to charge interest on the outstanding amount at a rate of 5% per month.

4. Briefing - The parties agree to a pre-assignment consultation before the Assignment in order to finalise the actual shooting times, locations, and Client’s request list (in writing) for specific content. The Client will be responsible for, or have someone designated, to identify the food, people or product of which specific photographs are desired. The Photographer will not be held accountable for not photographing desired subjects if this is not made clear (via a brief).

5. Copyright - The copyright in all photographs taken by the Photographer remains with the Photographer at all times. The Client is granted a license to use the photographs for the specific purpose outlined in the contract agreement. Any other use of the photographs without the Photographer's prior written consent is strictly prohibited.

6. Ownership - The photographs remain the property of the Photographer. The photographs produced by the Photographer are protected by the Copyright, Designs and Patents Act 1988 (all rights reserved). The Client is not entitled to sell or transfer the photographs to any third party without the Photographer's prior written consent.

7. Usage Rights - Upon payment in full of both the Fee and expenses for an Assignment the Client is granted a 1 year license to use the content for the purpose outlined in the contract agreement. This license is non-exclusive and non-transferable. The Client must not use the photographs for any other purpose without the Photographer's prior written consent. If the client wants to be issued a license longer than 1 year this must be agreed with the Photographer in writing, and confirmed as an amendment to this contract.

8. House Rules - The Photographer is limited by the guidelines of assignment officials and/or assignment location site management. The Client agrees to accept the technical results of their imposition on the Photographer. Negotiation with the officials for moderation of guidelines is the Client’s responsibility; the Photographer will offer technical recommendations only, but will be as helpful as possible.

9. Shooting Time / Additions - The photography schedule and selected methodology are designed to accomplish the goals and wishes of the Client in a manner enjoyed by all parties. The Client and the Photographer agree that cheerful co-operation and punctuality by all members of the Assignment staff are therefore essential to that purpose. Shooting commences at the scheduled start time agreed by both parties.

Should additional photography and/or travel time, that is not included in the agreed package, be requested by the Client, it will be accommodated as best as possible, although there may be a charge incurred.

9(b). Overtime / Anti-Social Hours - A normal day is up to 9 hours (including 1 hour for lunch) between 9am and 6pm on any Working Day, unless agreed otherwise. Any hours worked outside a normal day (“Antisocial Hours”) may incur additional overtime fees for the Photographer, crew and facilities. These will be agreed between the parties.

Additional fees for crew, facilities and any other third parties required to work Antisocial Hours shall be as set out in their standard terms or otherwise negotiated.

10. Client Confidentiality - The Photographer will keep confidential and will not disclose to any third parties or make use of information communicated to them in confidence for the purposes of the photography by the Client, save as may be reasonably necessary to enable the Photographer to carry out their obligations in relation to the commission.

11. Delivery of the Content - The Photographer will use reasonable endeavours to deliver the content to the Client within 7 working days of the date of the photography session, unless otherwise stipulated in writing by the Client. The content will be delivered to the Client via a digital file transfer service or other means agreed upon by both parties.

If the Client requires expedited delivery of the content, they must stipulate this in writing and additional fees may apply.

The Photographer will not be liable for any delays in delivery of the content that are beyond their control, including but not limited to, technical issues, acts of God, or transportation issues. In such cases, the Photographer will use reasonable endeavours to communicate with the Client and resolve any issues as quickly as possible.

12. Amendments - The Client may request one round of amendments to the content at no additional cost. This round of amendments must be requested within 14 days of the date of delivery of the content.

If the Client requires additional rounds of amendments, the Photographer reserves the right to charge additional fees. The Photographer will inform the Client of any additional fees before proceeding with the amendments.

The Photographer will use reasonable endeavours to ensure that any amendments are made in a timely and efficient manner. However, the Photographer will not be liable for any delays in making amendments that are beyond their control. The Client acknowledges that any amendments made to the content may affect the delivery schedule, and the Photographer will not be liable for any delays caused by such amendments.

13. Expenses - All expenses figures provided in advance of a shoot are estimates only and the Client should allow a minimum 10% contingency budget in all cases. All estimated costs are stated exclusive of VAT. The Photographer will endeavour to work within the agreed cost estimate, but individual costs within the Estimate may vary at her discretion to enable the most effective realisation of the brief.

Receipts for expenses can only be provided if requested prior to shoot confirmation.

Where extra expenses or time are incurred by the Photographer as a result of alterations to the original brief by the Client, or otherwise at its request, the Client shall be liable to pay such extra expenses and additional fees at the Photographer’s normal rate.

14. Insurance - The Client shall effect and maintain (and shall require its ultimate client, if any, to maintain) throughout the continuance of this terms and condition insurance policies which provide appropriate coverage adequate enough to cover all liabilities and risks of the Client that may arise under these terms and conditions and any insurance cover it is required to place in accordance with applicable law.

15. Liability - The Photographer will take all reasonable care to produce high-quality photographs. However, the Photographer shall not be liable for any loss, damage, or expense arising from any failure to take or produce any photographs or from any other cause.

16. Governing Law and Jurisdiction - These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
